Energica’s crisis: what will happen now?

The Pack - Fri, 2024-10-25 09:30

Author: Marco Ghezzi | This publication is a collab between Marco Ghezzi, an Italian journalist focused on electric motorcycle news and promoting electric mobility through the eV-Now! Foundation and THE PACK.

Marco Ghezzi - Normandy - Energica - THE PACK - Electric Motorcycle News

In mid-October, Energica, a company specialized in the production of high-performance electric motorcycles, due to the ongoing reduction and subsequent freeze of financial support from its main investor, the American fund Ideanomics, was forced to halt production and file for judicial liquidation.

EICMA 2022 - ENERGICA MOTOR COMPANY - The Pack - Electric Motorcycles News

“A required legal action,” they state at Energica. “With the judicial liquidation filing, the court will assess the company’s financial situation to determine whether it can be restructured or if it must be liquidated to settle debts with creditors. This process could involve the sale of company assets, and depending on the court’s decision, there could be an attempt to save the company through a restructuring plan or proceed with its permanent closure.”

Energica - THE PACK - Electric Motorcycle News

Despite some opinions that have appeared on social, Energica’s assets are still highly valuable and very appealing to potential companies and/or investors. It involves 50 highly specialized employees who have been part of Energica’s journey from the beginning, creating from scratch the most high-performance electric motorcycles on the market. These are people who know the technology inside out, the same who contributed to the international patents achieved over the years, and they could be crucial for a potential recovery. Today Energica has a warehouse at 60% capacity, capable of supporting production for the next two years, with an active customer portfolio, as evidenced by the French order of 200 motorcycles for state fleets. Despite this, for a true recovery, it is necessary to cover the production costs that the company has been unable to sustain in recent months.

Energica Motor - Police - Gendarmerie - France - THE PACK - Electric Motorcycle News

The American fund Ideanomics, which had controlled 75% of the company since 2022, was impacted by the electric market crisis and the reduction of investments in the sector, significantly compromising its ability to invest in Energica. As a result, the agreed development plan was halted. However, it is important to note that Ideanomics believed in the Italian company, investing over 100 million dollars, even during the uncertainty brought on by Covid. Thanks to this, Energica was able to launch a new technological platform and introduce the green tourer Experia. Not to mention that Energica’s growth helped establish the “Electric Motor Valley,” as other companies linked to the electric market settled near Energica’s facilities.

In short, the value of the company is still “alive”: technological assets, professionals, and know-how. It’s a very attractive mix for industrial investors, with the hope that it can remain in Italy, despite the country being a challenging environment for doing business.

ENERGICA > Marchel Bulthuis, the Dutch importer of Energica, responds to the current situation Energica Motor Company SpA announced that its Board of Directors meeting resolved to enter into a bankruptcy judicial liquidation Energica, a human and technological heritage to be preserved

In 2014, KTM introduced the KTM FREERIDE E in both Enduro and Motocross versions. A street-legal version was later released for urban commuting and recreational riding. Ten years have passed since then, and technology has advanced significantly, resulting in improved and lighter hardware, as well as cleverer software. The latest iteration of the KTM FREERIDE E shows that the company firmly believes in the potential of battery power. The 2025 model is a natural progression from the recently released KTM SX-E minicycles, which provide an excellent introduction to future riders.

KTM’s R&D department has been hard at work to introduce a thrilling take on electric drivetrain technology for the KTM FREERIDE E platform. With a nominal output of 11 kW, peak power of 19.2 kW, torque exceeding 37 Nm, and a maximum speed of 95 km/h, the motor is not only powerful but also operates quietly and stays cool. It is also water and dustproof and seamlessly integrated into the overall design and feel of the motorcycle. The engine offers three ride modes (ECO, NORMAL, SPORT) and three energy recuperation settings (OFF, MID, HIGH) for customizable range and power options. Traction control can be adjusted to limit or increase wheelspin. Additionally, there is a safety feature in the form of a ‘rollover sensor’ that cuts power in case of an accident.

KTM focused on creating a motorcycle with agile and lightweight handling, so they designed a brand new chassis. By altering the geometry and widening the wheelbase for increased stability and comfort, they were able to keep the chassis slim and lightweight. This was achieved by hinging the chrome-molybdenum steel frame on the load-bearing engine and battery architecture. The final weight of the ride-ready bike is expected to be less than 112 kg, thanks in part to the use of aluminum and glass-fiber reinforced nylon in the subframe. The seat height for the KTM FREERIDE E is 910 mm.

2025 KTM FREERIDE E - THE PACK - Electric Motorcycle News

The MX50 Lithium-Ion battery, weighing 29 kg, has undergone rigorous testing and proven its durability in the most extreme conditions. It is designed to be interchangeable, allowing for the use of a second pack during charging or for extended travel time. With a capacity of 5.5 kWh, it boasts an improvement of 1.5 kWh compared to the previous KTM FREERIDE E, offering 20% more riding time or distance. The battery can withstand over 1000 charge cycles before experiencing a decrease in effectiveness to 80%. For typical Enduro riding, it is estimated to last between 2 and 3 hours.

The KTM FREERIDE E is equipped with a 660 W charger that can fully charge the bike in 8 hours using a standard household power supply. If you only need to charge between 20-80%, it can be done in 4-5 hours.

The latest generation of WP Suspension offers reliable and durable handling. The front end is responsive, yet maintains stability when needed, thanks to the lightweight 43 mm WP XACT split design fork. On the left side, there is an air capsule for easy adjustment with a single air pressure valve and included air pump for preload. The right side contains the oil damping system with clickers for compression and rebound adjustments. The new WP XPLOR PDS system has been designed to provide 250 mm of travel on the rear. With optimized oil flow, riders can expect a consistent and smooth damping experience from the 374 mm shock. Additionally, the new bearing seals allow for longer service intervals. The WP XPLOR PDS also features tool-less clicker adjustments for quick modifications while riding.

Marchel Bulthuis, the Dutch importer of Energica, responds to the current situation

The Pack - Thu, 2024-10-17 11:53

Despite what other media may have reported earlier, Energica Motor Company has not declared bankruptcy. Marchel Bulthuis, owner of Electric Motorcycles Nederland and importer of the Energica brand, denies the inaccurate speculation and stresses that the Italian motorcycle manufacturer’s board has instead chosen to begin a liquidation process in accordance with Italian law. This could potentially allow for a chance at a fresh start.

Energica Motor Nederland

“It is incorrect to suggest that Energica is in the final phase of bankruptcy,” he says. Bulthuis refers to the announcement made by the Board of Directors of Energica Motor Company on October 14, stating that the manufacturer is undergoing a liquidation process. However, there is no talk of bankruptcy.

Incorrect interpretation

Marchel Bulthuis: “Unfortunately, this message has been misinterpreted by the media. As the importer of Energica motorcycles, we have complete faith in the brand. While the recent news from this top Italian motorcycle manufacturer was unexpected, sensationalized reporting in the media does not aid in finding a resolution. It is crucial to remain composed and avoid premature assumptions in light of this situation.”

Full confidence

Bulthuis assures us that nothing is final yet, and there are still many opportunities available. As the importer of Energica, Electric Motorcycles Nederland, along with their dealers, will continue to provide the best possible service to current owners of Energica motorcycles. Bulthuis remains optimistic about a bright future for Energica Motor Company, whether through a restart or finding a suitable successor.

Energica Motor Company SpA announced that its Board of Directors meeting resolved to enter into a bankruptcy judicial liquidation

The Pack - Tue, 2024-10-15 13:31

Tuesday October 15th, 12:33 PM – We just received the official press release from Energica Motor Company about its Board of Directors meeting decision concerning the bankruptcy judicial liquidation.

Guy Salens – THE PACK: “This is again a very, very sad day for the European electric motorbike industry. I am speechless and I still have to process the news, this is absolutely not a good sign for the electric 2-wheeler mobility. What happened? I am publishing the full press release from Energica here.

Official press release

Energica Motor Company SpA, a manufacturer of high-performance electric motorcycles 75% controlled by the American fund Ideanomics Inc., announces that its Board of Directors meeting held on 14 October 2024 at 3:00 p.m. resolved to enter into a bankruptcy judicial liquidation pursuant to art. 121 et seq. of the insolvency law.

Officially founded in 2014 as Energica Motor Company Srl, and with a design phase that began in 2009, the company has established itself over 15 years as a benchmark for high-performance electric mobility, demonstrating resilience and innovation.

Thanks to its technical know-how, considered the company’s main asset, Energica has introduced four technological platforms to the market and has served as the Unique Manufacturer of the fourth MotoGP electric category, the FIM Enel MotoE World Cup, for four consecutive years. Despite the challenges posed by the global pandemic, Energica achieved record sales volumes and revenues with the launch of the Experia model.

Energica’s entrepreneurial vision has been supported and financed from the outset by its founding partners, who in 2016 decided to list the company in the AIM Italia sector (now Euronext Growth Milan), dedicated to innovative Italian SMEs, to secure the necessary capital for growth that they could no longer sustain alone. The company was listed with a capitalization of €37.3 million.

In 2021, with the investment from Ideanomics Inc., Energica launched the Experia model, achieving record sales volumes and revenues of €13 million, a 200% increase compared to 2021.

In March 2022, Ideanomics successfully completed a voluntary takeover bid, which allowed the shareholders to transform the company into a private entity, making it more free and flexible in managing financing and agile in its growth.

However, the subsequent crisis in the electric market and the decline in sector investments impacted Ideanomics, and consequently, compromised Energica’s investment capabilities.
The company has also faced challenges from the downturn in the automotive market and supply chain, being particularly affected as a small and medium-sized enterprise. The commitment to its objectives and mission has remained steadfast, as demonstrated by initiatives like the solidarity contract aimed at safeguarding workers and overcoming the difficult period.

Despite the efforts from the management in actively and extensively pursuing a search for new investors – always with the aim of preserving going concern in the best interest of creditors – it has become clear in the last few hours that these alternative options are no more viable, thus leaving the company with no other choice than resolving for the opening of a bankruptcy judicial liquidation, thus allowing repayment of creditors to the extent possible from the proceeds of liquidation and according to pari passu rule and priority rankings.

Throughout its history, the company has consistently invested in its workforce, training staff in the most innovative skills in the electric mobility sector, without making any contract terminations in its 15 years of activity. The founding members have prioritized young talent, collaborating closely with schools and universities across the country and beyond. The average age of Energica employees has always ranged from 28 to 35 years.

Management has guaranteed salaries even during the most challenging periods, where necessary also thanks to the support of the Italian minority shareholders, always with a view to preserving business continuity and in the best interest of creditors and all stakeholders. In the last two years, some employees have voluntarily left the company; these professionals have since been absorbed by major players in the Motor Valley.

This press release is attributed to the founding members of Energica. It is noted that Ideanomics has chosen not to comment.

Energica timeline

Energica was born in the Italian Motor Valley, the land of legendary brands. Founded in 2014, CRP Group is an excellence in the world of world motorsport.

2014
launch of the first model, the Ego sportbike followed in 2015 by the Eva hypernaked. First legacy platform (Ego, Eva, EsseEsse9) with the same powertrain, 13.4 kWh battery and 150 km range.

2016
listing on the AIM Italia stock exchange – start of production.
2017 launch of the third model, the retro naked EsseEsse9 – the same technological platform, the legacy, of Ego and Eva.

2018
Dorna chooses Energica as the sole supplier for the first FIM Enel MotoE World Cup championship, the fourth category of the full electric MotoGP world championship. Together with Dorna, Energica forges an electric world championship, building rules and procedures that are still in force today.

2019/2022
4 years MotoE without any technical problems. Energica has been recognized by the financial market, which has allowed it to become self-sufficient and to self-finance, although not at the levels necessary for product industrialization, which is crucial for reaching break-even more quickly. This occurred especially during the significant challenges faced in the first year of competition.

2019
Energica introduces the 21.5 kWh battery with a range of up to 400 km. In 5 years, SME Energica has introduced 2 powertrains on the market (one with a 13.4 kWh battery and one with a 21.5 kWh battery, increasing the range of vehicles by 250 km, lowering the weight of its motorcycles by about 10 kilos).

2021
Launch of the new EMCE engine with industrial engine reshoring. A new technological platform with an EMCE motor with less weight and greater efficiency is therefore born. In these complex years marked by the global pandemic, Energica remains an Italian SME listed on the AIM that continues to invest with its own strengths, also doing reshoring and inserting a new technological platform.

March 2021 Ideanomics – new investor that allowed a technological boost: in 2022 launch of the Green Tourer Experia with new platform (+autonomy, -weight) and launch of the Energica Inside business unit (following the interest of large OEMs in Energica powertrains).

2022
Energica achieves record sales volumes and revenues of 13 million euros thanks to Experia and despite the covid years.
With the EMCE and Experia motor, Energica has launched, in 13 years of history, 4 technological platforms (with 13.4 kWh battery, with 21.5 kWh battery, with 21.5 kWh battery and EMCE motor, Experia platform).

2023
MotoAmerica Super Hooligan Championship with the Eva Ribelle RS with Customer Racing Kit. No electric vehicle had ever challenged traditional vehicles on the track, not even on four wheels and certainly not in a competition regulated by an international federation. She finished fourth in the championship and finished second in the Austin race at the Circuit of the Americas.

After a 21-year absence, Fujinami made his comeback to the All-Japan Championship at this weekend’s event in SUGO. It was also the official debut of the new RTL ELECTRIC Prototype. Fujinami rode with his signature number 27, which he first used in 1994 when he joined the top class of the All-Japan Championship. This number holds significance for Fujinami as it was also the number he used during his first World Championship in 1996 and represents two major challenges he overcame in the past.

Takahisa Fujinami, Team HRC #27:

“It has been a long time since I participated in a competition, and this was my first All-Japan Championship round after 21 years. Thanks to the development team for preparing a machine that allowed me to win under pressure. Despite some mistakes in the second half of the first lap and in the special sections, I am grateful to have secured this victory. In two weeks there’s next SUGO competition, and we will continue to refine the machine for optimal performance and aim for another victory. I am also thankful for the opportunity to reunite with the fans on the All-Japan stage. Your support helped me achieve this victory. Thank you very much.”

Fujinami was added to the RTL ELECTRIC Prototype team this spring, and he had only trained on the machine for a mere two weeks. Despite this short preparation time, he entered the competition with a fierce determination to come out on top. However, since he had no prior achievements in the All-Japan series, meant that he started at the very front of the race, which put him at a disadvantage when it came to measuring his competitors’ abilities. He faced a difficult challenge as he attempted sections that no one had ever completed before.

During the first lap, Fujinami easily took the lead with a strong score. As he began the second lap, he made some adjustments to his strategy. In the previous lap, he had lost 17 points in sections 7 to 11, but in this lap, he only gave up 7 points in those sections. Ultimately, his final score for the second lap was 14 points, securing his victory and leaving his competitors unable to catch up. It was clear that Fujinami’s victory was secured.

Hikaru Tsukamoto, Director, Honda R&D and Managing Director, Honda Racing Corporation:

“As this was Team HRC’s first race with the electric trial bike, I believe it was a day where rider Fujinami, the assistant, and all the staff learned a lot. We are very pleased with the result of securing 1st place, but we will remain focused for the rest of the planned races. Thank you to everyone who supported us in this venture.”
